1. Binding Agreement — Acceptance by Use

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Kaylasoft Solutions LLC ("KaylaDesk", "we", "us", "our") governing your access to and use of the KaylaDesk remote desktop software, hosted services, website, and any related products or services (collectively, the "Service").

By installing, downloading, accessing, configuring, connecting to, or using KaylaDesk in any manner, you agree to these Terms in full. Users who create an account on the Service must affirmatively click \u201cI Agree\u201d to these Terms during registration. Users of the client software must accept these Terms during installation. If you do not agree to these Terms, you must immediately uninstall the software and cease all use of the Service. If you do not agree to these Terms, you must immediately uninstall the software and cease all use of the Service.

These Terms apply to all users of the Service, including free users, paid subscribers, and users connecting to devices that have KaylaDesk installed. Connecting to a KaylaDesk device constitutes acceptance of these Terms by all parties to the connection.

KaylaDesk is remote desktop software that enables users to access, control, and share computer desktops over the internet. The Software is open-source under AGPL-3.0. The Hosted Service provides rendezvous servers, relay servers, an API, billing, device management, and automated abuse detection.

You agree to use KaylaDesk only for lawful purposes. You MAY use KaylaDesk for:

⚠ Scam Warning: If someone calls you claiming to be from Microsoft, Apple, your bank, or any tech support service and asks you to install KaylaDesk — HANG UP IMMEDIATELY. This is a scam. KaylaDesk will never call you. Legitimate tech support does not cold-call users to install remote desktop software. Report such calls to the FTC at reportfraud.ftc.gov.

5. Abuse Detection and Account Protection

For the Service, KaylaDesk employs automated AI-assisted pattern detection to identify potentially abusive or fraudulent usage patterns. This is a safety aid, not a guarantee of detection. The system analyzes:

KaylaDesk does NOT capture screenshots, record sessions, or analyze visual content of any kind. The system operates solely on metadata and behavioral patterns, equivalent to standard server logging performed by every website and online service. No visual content from your remote sessions is captured, stored, or analyzed by Kaylasoft Solutions LLC.

Enforcement Process: When the system detects suspicious patterns at 95% confidence or higher, it may temporarily freeze a session for up to one (1) hour as a precautionary measure. The freeze is automatic and temporary. Sessions resume after one hour without any permanent action. If multiple freezes occur within a 24-hour period, the account is flagged for manual review by ownership. Following manual review, Kaylasoft Solutions LLC may, at its sole discretion, permanently terminate the account. Banned users may appeal by contacting support@kayladesk.com. Appeals are reviewed within 5 business days.

5a. Peer Relay Network

By installing and using KaylaDesk, your device automatically participates in the KaylaDesk peer relay network. This means your device may relay encrypted traffic between other KaylaDesk users who cannot connect directly due to network restrictions (NAT, firewalls, etc.).

How it works:

Relay coordination: KaylaDesk operates a public relay coordinator that tracks available relay nodes (including Kaylasoft-operated servers and user devices). All relay nodes report their status (IP, bandwidth capacity, uptime) to the coordinator. The coordinator maintains logs of relay connections for operational and security purposes.

Your liability as a relay node: You are not liable for content that passes through your device as a relay because you cannot see, decrypt, or control it. This is protected by 47 U.S.C. Section 230 (intermediary immunity) and 17 U.S.C. Section 512(a) (transitory network communications safe harbor). Kaylasoft Solutions LLC assumes all responsibility for the relay network service.

Disabling relay: You can disable relay mode at any time in Settings. Disabling relay mode does not affect your ability to use KaylaDesk for your own remote sessions.

Standalone relay program: Kaylasoft Solutions LLC also offers a standalone relay program that can be installed on dedicated servers. This program runs as a system service and participates in the relay network. Organizations that need guaranteed relay capacity can deploy their own relay nodes.

7. Indemnification — Hold Harmless

You agree to indemnify, defend, and hold harmless Kaylasoft Solutions LLC and its Operators from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Kaylasoft Solutions LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with Kaylasoft in asserting any available defenses. You may not settle any matter without the prior written consent of Kaylasoft Solutions LLC.

8. Disclaimer of Warranties — "AS IS"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. Kaylasoft Solutions LLC expressly disclaims all warranties, including but not limited to:

No advice or information, whether oral or written, obtained from Kaylasoft Solutions LLC or through the Service, creates any warranty not expressly stated in these Terms. You use the Service entirely at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KAYLASOFT SOLUTIONS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, OR AFFILIATES BE LIABLE FOR:

KaylaDesk is a tool that enables remote access. The actions taken by users of this tool are the sole responsibility of those users. Kaylasoft Solutions LLC does not control, direct, or endorse how users operate the Service, and bears no responsibility for the actions of users.

The total aggregate liability of Kaylasoft Solutions LLC for all claims arising out of or related to these Terms or the Service shall be limited as follows:
(a) For paid subscribers: the total subscription fees paid by you in the one (1) month preceding the event giving rise to the claim.
(b) For free users: $0.00 (zero dollars), as no monetary consideration was paid.

EXCEPTIONS — The foregoing limitation does NOT apply to:
(i) Gross negligence, willful misconduct, or fraudulent acts by Kaylasoft Solutions LLC
(ii) Personal injury or death caused by our negligence
(iii) Violation of federal, state, or local laws including consumer protection and privacy laws
(iv) Infringement of intellectual property rights
(v) Breach of confidentiality obligations
(vi) Amounts that cannot be limited under applicable law

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, liability shall be limited to the maximum extent permitted by law.

10. Malicious Actor Protection

KaylaDesk is designed for legitimate remote access. Kaylasoft Solutions LLC cannot control, prevent, or detect all malicious use of the Service by bad actors. You acknowledge that:

If you believe a user is using KaylaDesk for fraudulent or illegal purposes, report it to abuse@kayladesk.com. Kaylasoft Solutions LLC will review and take appropriate action, but assumes no liability for any damage caused before, during, or after such review.

11. No Agency, Employment, or Partnership

Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and Kaylasoft Solutions LLC. You are not an agent, employee, or representative of Kaylasoft Solutions LLC. You have no authority to bind Kaylasoft Solutions LLC to any obligation or agreement. Kaylasoft Solutions LLC has no authority to direct or control your use of the Service beyond these Terms.

12. Third-Party Software and Services

KaylaDesk is built on open-source software licensed under AGPL-3.0. The Service may interact with third-party services (payment processors, certificate authorities, DNS providers). Kaylasoft Solutions LLC is not responsible for the actions, availability, or policies of any third party. You agree to comply with the terms of all applicable third-party licenses, including the AGPL-3.0 license governing the client software.

13. Account Registration and Billing

Hosted Service plans require an account. You must provide accurate registration information. Paid plans are billed through Stripe. You authorize Kaylasoft Solutions LLC to charge your payment method for recurring subscription fees until you cancel. You may cancel at any time through the customer portal. Refund Policy:
(a) New subscriptions: Full refund within seven (7) days of initial purchase if total session time is under 2 hours.
(b) Annual subscriptions: Prorated refund for unused full months, less a $10 processing fee.
(c) Monthly subscriptions: No refunds for partially used billing periods. Full access until end of paid period.
(d) Account terminated for violation: No refund or credit.
(e) EU users: 14-day statutory withdrawal right under EU consumer law — contact support@kayladesk.com.
(f) Chargebacks: Contact support@kayladesk.com before initiating. Unjustified chargebacks may result in account suspension.
(g) Plan changes: Take effect at the next billing cycle.

14. Account Termination and Device Banning

Kaylasoft Solutions LLC may, at its sole discretion and without prior notice:

Upon termination, all licenses granted to you immediately cease. You must destroy all copies of the Software in your possession. Kaylasoft Solutions LLC is not liable for any data loss resulting from account termination or device banning.

15. Law Enforcement Cooperation

Kaylasoft Solutions LLC cooperates with law enforcement in accordance with our Privacy Policy (Section 12). Key points:

16. Intellectual Property

The KaylaDesk client software is licensed under AGPL-3.0. The KaylaDesk API server, web portal, and pattern detection system are proprietary to Kaylasoft Solutions LLC. The KaylaDesk name, logo, and branding are trademarks of Kaylasoft Solutions LLC. You may not use the KaylaDesk name or branding without written permission.

17. Open Source Compliance

The KaylaDesk client is distributed under the GNU Affero General Public License v3.0 (AGPL-3.0). Source code is publicly available at https://github.com/kaylasoft/kayladesk (or upon request via support@kayladesk.com). Users who interact with the KaylaDesk client over a network are entitled to receive the complete corresponding source code, including modifications, as required by AGPL-3.0 Section 13. Users who modify and distribute the software must comply with AGPL-3.0 terms, including providing source code to all users who interact with the software over a network.

18. Force Majeure

Kaylasoft Solutions LLC is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, government actions, labor disputes, internet outages, infrastructure failures, or cyberattacks on infrastructure.

19. Privacy

Your use of the Service is also governed by our Privacy Policy, available at kayladesk.com/legal/privacy.html. The Privacy Policy is incorporated into these Terms by reference.

20. Dispute Resolution — Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Washtenaw County, Michigan, USA. The arbitrator's award may be entered in any court having jurisdiction. You and Kaylasoft Solutions LLC each waive any right to participate in a class action lawsuit or class-wide arbitration. Judgment on the award may be entered in any court of competent jurisdiction.

21. Governing Law

These Terms are governed by the laws of the State of Michigan, USA, without regard to its conflict of law provisions. Any action at law or in equity arising out of or relating to these Terms that is not subject to arbitration shall be filed only in the state or federal courts located in Washtenaw County, Michigan.

22. Changes to These Terms

Kaylasoft Solutions LLC may update these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after any change constitutes acceptance of the updated Terms. You are responsible for periodically reviewing these Terms for changes.

23. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

24. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kaylasoft Solutions LLC regarding the Service, and supersede all prior or contemporaneous understandings, communications, or agreements, written or oral, regarding the Service.

26. Reporting and Law Enforcement

Kaylasoft Solutions LLC operates an automated pattern detection system that identifies potentially abusive behavior based on connection metadata. The system does NOT capture, store, or analyze visual content from sessions. The following provisions apply:

27. Age Restrictions and COPPA Compliance

You must be at least thirteen (13) years of age to use the KaylaDesk Service. Users under eighteen (18) years of age must have the consent of a parent or legal guardian. KaylaDesk is not directed to children under 13 and does not knowingly collect personal information from children under 13 in compliance with the Children's Online Privacy Protection Act (COPPA). If you believe a child under 13 has provided personal information through the Service, please contact privacy@kayladesk.com and we will promptly delete such information.

28. Copyright and DMCA

Kaylasoft Solutions LLC respects the intellectual property rights of others. If you believe content transmitted through or stored on the KaylaDesk Service infringes your copyright, you may submit a Digital Millennium Copyright Act (DMCA) takedown notice to our designated agent:

DMCA notices must include: (1) identification of the copyrighted work, (2) identification of the infringing material, (3) your contact information, (4) a statement of good faith belief, and (5) a statement under penalty of perjury that you are authorized to act. We will respond to valid DMCA notices within 10 business days. Counter-notification procedures are available upon request.
